That the agenda for the March 12, 2026, meeting of the Hamilton Renewable Power Inc. Board of Directors, be approved, as presented.

That the Minutes of the December 11, 2025, meeting of the Hamilton Renewable Power Inc. Board of Directors be adopted, as presented.

(a) BE IT RESOLVED that Corporation Report #HRP26001 (attached hereto as Schedule “A”) be received and the recommendations contained therein be approved, namely that: (i) The Corporation BE AUTHORIZED and BE DIRECTED to engage a qualified engineering consultant to prepare and submit, on behalf of the Hamilton Renewable Power Inc. Board of Directors March 12, 2026 Minutes HRPB 26-001 Page 3 of 3 Corporation, a Connection Impact Assessment (CIA) application to Alectra Utilities for the electricity generation and interconnection assets located at the Woodward facility, including preparation of the required technical assessment, engineering documentation and associated drawings, with content satisfactory to the President of the Corporation, and that the President of the Corporation, or their designate, BE AUTHORIZED and BE DIRECTED to execute, on behalf of the Corporation, all documents and/or agreements necessary to implement the foregoing and that the Corporation BE AUTHORIZED and BE DIRECTED to utilize up to $80,000 to fund the foregoing; and (ii) The Corporation BE AUTHORIZED and BE DIRECTED to seek approval from the Sole Shareholder of the Corporation to enter into a line of credit agreement with the City of Hamilton, pursuant to the information set out in Report #HRP26001, and that staff BE DIRECTED to report back to the Board of Directors in June 2026 to provide information on the terms and conditions of such agreement.
